Terms of Service

1. Services

HLT3.studio provides software development, consulting, and related technology services. The specific scope of work for any engagement will be defined in a separate agreement or statement of work.

2. Intellectual Property

Unless otherwise agreed in writing, upon full payment, clients receive ownership of the custom code and deliverables created specifically for their project. Repository and service-account access is provided in the client's organization from the start; that access is separate from the transfer of ownership after payment. Third-party software remains subject to its own licence terms. We retain the right to use general techniques, tools, and knowledge gained during the engagement.

3. Confidentiality

We treat all client information as confidential. We will not disclose project details, business information, or technical specifications to third parties without your explicit consent.

4. Payment Terms

Payment terms will be specified in individual project agreements. Standard terms include milestone-based payments or monthly retainers, depending on the project structure.

5. Warranties and Limitations

We strive to deliver high-quality work and will address any bugs or issues discovered within a reasonable period after delivery. However, we cannot guarantee that software will be completely free of defects or that it will meet all future requirements not specified in the original scope.

6. Limitation of Liability

Our liability is limited to the fees paid for the specific services in question. We are not liable for indirect, incidental, or consequential damages arising from the use of our services or deliverables.

7. Termination

Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination, client will be invoiced for work completed to date.

8. Governing Law

These terms are governed by the laws of Switzerland. Any disputes will be resolved in the courts of Switzerland.
